General Terms and Conditions of Service (GTCS)

The following General Terms and Conditions of Service (GTCS) govern all services provided by SS Quality Inspection and its affiliates (hereinafter referred to as “SS Quality Inspection” or “the Company”) unless otherwise expressly agreed upon in writing and signed by both SS Quality Inspection and the Client. By requesting or accepting any service from SS Quality Inspection, the Client acknowledges and agrees to be bound by these terms and conditions.

SS Quality Inspection reserves the right to modify or update these GTCS at any time without prior notice. Any updates or revisions will take effect immediately upon being posted on our official website (www.ssqualityinspection.com), which shall be considered the only valid and authorized source of the GTCS.


Language

These GTCS are originally drafted in English. In the event of any translation discrepancies or ambiguities, the English version shall prevail as the authoritative version.


Service Provision

SS Quality Inspection reserves the right to decline or refuse any service request at its sole discretion. No agreement between SS Quality Inspection and a Client shall be deemed to create an obligation for the Company to provide any specific service unless such an obligation has been clearly defined and agreed upon in a written contract signed by both parties.

Where SS Quality Inspection has agreed to provide a service, the Company shall fulfill such obligations to a reasonable extent, taking into account available resources and operational capabilities. Unless otherwise expressly agreed upon in writing, no other terms and conditions—whether proposed by the Client or implied—shall apply to the services provided by SS Quality Inspection.

Payment

Fee Structure

The total Service Cost for any service provided by SS Quality Inspection consists of two components: the Service Fee and Expenses, which become due upon completion of the service unless otherwise agreed in writing.

Service Fee

The Service Fee represents the base charge for service delivery. Fees may vary depending on the type of service, location, and scope of work. SS Quality Inspection may provide standard pricing schedules or estimates upon request; however, such schedules are for reference only and are subject to change without prior notice. Clients are encouraged to confirm the most up-to-date pricing before placing a service order.

Service Fees may be quoted based on:

  • Man-day Rate (per inspector per day)

  • Hourly Rate

  • Package Rate (for a complete service bundle)

A Man-day is defined as eight (8) working hours, including travel, on-site time, and reporting. The minimum billing for any field inspection is one Man-day.

  • Overtime beyond 8 hours will be charged at 1.5 times the Hourly Rate.

  • Services performed on Sundays or public holidays will be billed at 2 times the standard Man-day or Hourly Rate, as applicable.

 Expenses

In addition to the Service Fee, the Client agrees to reimburse SS Quality Inspection for any reasonable expenses incurred during service delivery, including but not limited to transportation, lodging, and communication costs.
If an All-Inclusive Service Fee is quoted, such expenses will already be covered, and no additional charges will apply.

All Service Fees and Expenses are exclusive of applicable taxes, which vary by service location and will be itemized in the quotation or invoice.


Quotation

Upon receiving a Service Request and all necessary project details from the Client, SS Quality Inspection will issue a Quotation specifying the Service Fee, anticipated Expenses, and applicable Taxes. Quotations may be sent by email, as a document, or as part of a formal Project Proposal.

Quotations are valid only for the specified service dates, locations, and Client requirements. Any changes to these details may invalidate the quotation and require a revised version. All quotations are subject to resource availability at the time of confirmation.


 Project Proposals

For long-term or specialized projects, SS Quality Inspection may issue a Project Proposal outlining project goals, deliverables, timelines, estimated man-days, and costs. These details are for planning purposes only and are non-binding, unless explicitly agreed in writing.


Service Booking

A Service Booking is considered confirmed once the Client provides written or email acceptance of a valid quotation. Upon confirmation, SS Quality Inspection will send an acknowledgment to the Client confirming the booking details.


Service Cancellations

If a service is canceled by the Client (or their supplier) for reasons not attributable to SS Quality Inspection, the following terms apply:

  • The Client will be invoiced for non-refundable expenses already incurred (e.g., travel or accommodation).

  • For cancellations made within 24 hours of the scheduled service, a Late Cancellation Fee equal to the base Service Fee will apply, in addition to incurred expenses.

  • If inspectors arrive at the service location and find the site or products unprepared, the service will be deemed canceled by the Client, and the Late Cancellation Fee will apply.

SS Quality Inspection reserves the right to cancel any booking at its discretion. No service cost will be charged for cancellations initiated by SS Quality Inspection.


Invoicing and Payment Terms

Invoices may be issued:

  • Per Service for short-term engagements, or

  • Monthly for ongoing or long-term projects.

Unless otherwise specified, invoices will be:

  • Issued within 5 days of service completion for short-term services.

  • Issued by the 10th of each month for long-term services covering the previous month’s work.

All invoices are due upon receipt, unless stated otherwise.

Prepayment:
SS Quality Inspection may require prepayment before service scheduling. Proof of payment (bank slip or receipt) may be requested. Service reports will only be released after full payment is received.

Late Payments:

  • Payments overdue by 30 days may incur a 10% late fee.

  • Payments overdue by 90 days may incur a 30% late fee.
    SS Quality Inspection reserves the right to suspend services or withhold reports for Clients with outstanding payments. Persistent non-payment may result in the account being referred to a collection agency.


Payment Methods

Payment methods accepted by SS Quality Inspection include:

  • Bank wire transfer

  • Cheque

  • Credit card

  • PayPal

Payment instructions will be detailed on the issued invoice. For international payments, Clients are responsible for all bank and transaction charges.

Non-Solicitation

Confidentiality Policy

For the purpose of these General Terms and Conditions of Service (GTCS), “Confidential Information” refers to any non-public business, technical, financial, or operational information shared by one party (the Disclosing Party) with another (the Receiving Party) in connection with the services provided by SS Quality Inspection.

All confidential information shared between the parties shall be used only for the intended business purpose and not for any unrelated activity. The Receiving Party agrees to protect such information with the same level of care it uses to protect its own confidential data, and in no case less than a reasonable standard of care.

Confidential information may only be shared with employees, agents, or contractors who require it for legitimate business purposes and who are bound by confidentiality obligations. Upon request, the Receiving Party must return or permanently delete all confidential information provided by the Disclosing Party.

All rights, titles, and interests in the confidential information remain with the Disclosing Party. No license, ownership, or intellectual property rights are granted to the Receiving Party. All confidential information is provided “as is”, without warranty regarding its accuracy or completeness.

All Service Reports generated by SS Quality Inspection remain the property of the Company and are protected under these confidentiality terms.

These confidentiality obligations do not apply to information that:

  1. Becomes publicly available through no fault of the Receiving Party;

  2. Is lawfully obtained from a third party without confidentiality restrictions; or

  3. Is required to be disclosed by law or court order (provided the Disclosing Party is notified in advance, when reasonably possible).

The confidentiality obligations outlined herein will remain in effect even after the termination of the business relationship between SS Quality Inspection and the Client.

Limitation of Liability

Liability and Limitation of Responsibility

SS Quality Inspection guarantees that all services will be carried out with due care, skill, and diligence, in accordance with industry standards and best practices. Our team members are qualified and experienced professionals who perform their duties in compliance with all applicable laws, regulations, and safety standards in the regions where services are provided.

We ensure that any specialized or technical equipment used during inspections is properly maintained, calibrated, and verified for accuracy.


Limitations of Liability

SS Quality Inspection shall not be held responsible for any loss, delay, or damage caused by circumstances beyond its reasonable control, including but not limited to natural disasters, transportation issues, labor disputes, or restrictions imposed by third parties. In all such cases, the Company will take every reasonable step to minimize the impact and continue service delivery where possible.

All Service Reports, assessments, and recommendations are based on the information provided by the Client or third parties. SS Quality Inspection shall not be liable for any errors or consequences resulting from inaccurate, incomplete, or outdated information supplied by the Client or its suppliers.

The Client acknowledges that inspection and sampling methods, including those based on Acceptable Quality Limits (AQLs), inherently involve statistical risk. As such, non-conforming items may still exist within an approved batch. SS Quality Inspection’s responsibility is limited to the items actually inspected and reported as conforming at the time of inspection.

The final responsibility for business decisions, supplier performance, and product conformity remains solely with the Client. SS Quality Inspection provides independent inspection and verification services but does not act as a guarantor, insurer, or certifier of product quality or compliance beyond the scope of the agreed service.


Liability Cap

In no event shall SS Quality Inspection’s total liability exceed ten (10) times the service fee paid for the specific service giving rise to a claim. The Company shall not be held liable for any indirect, incidental, or consequential losses, including but not limited to lost profits, production delays, or reputational damage.

Claims related to inspection services must be submitted within 60 days of the inspected goods’ receipt by the Client. For non-inspection services, claims must be filed within 60 days of the Client becoming aware of any issue.

SS Quality Inspection reserves the right to reinspect the goods or conduct an internal investigation to verify the claim. Refusal by the Client or Supplier to allow reasonable access for such verification shall result in the forfeiture of the claim.

The Company shall not be liable for any claim if the Client has outstanding unpaid invoices with SS Quality Inspection.

Indemnification

Indemnification Clause – SS Quality Inspection

The Client shall indemnify, defend, and hold SS Quality Inspection (including but not limited to its agents, affiliates, employees, directors, and shareholders) harmless from any and all client or third-party claims, demands, costs, liabilities, losses, expenses, and damages arising out of or in connection with:

i) Any misrepresentation, default, misconduct, failure to perform, or other act or omission relating to the Client’s obligations and responsibilities under these General Terms and Conditions of Service (GTCS), or any breach thereof; and

ii) The performance of duties by SS Quality Inspection under these GTCS, unless negligence or willful misconduct on the part of SS Quality Inspection with respect to its duties hereunder is sufficiently evidenced.

In the event of a dispute between the parties, the non-prevailing party shall indemnify the prevailing party against any and all attorney, legal, or other professional fees incurred as a result of the dispute.

Miscellaneous

Reservation of Rights

No forbearance, indulgence, relaxation, or inaction by SS Quality Inspection at any time to require performance of any of the provisions of these General Terms and Conditions of Service (GTCS) shall in any way affect, diminish, or prejudice the right of SS Quality Inspection to require performance of that provision from the Client.

Any waiver or acquiescence by either party of any breach of these GTCS shall not be construed as a waiver or acquiescence of any continuing or subsequent breach, nor as a waiver of any right arising from this Agreement, except as expressly stated herein.


Severability

If any provision of these GTCS is found to be invalid, illegal, or unenforceable by reason of any law, regulation, or public policy, such provision shall be deemed severed from the Agreement. The remaining provisions shall continue in full force and effect without being affected or impaired in any way.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Pakistan. The courts of Pakistan shall have exclusive jurisdiction over any and all disputes, claims, or differences arising out of or in connection with the services provided by SS Quality Inspection and these GTCS.
